(2)A term of contract is that portion of the legal relations resulting from the promise or set of promises which relates to a particular matter,whether or not the parties manifest an intention to create those relations.

核心词汇Term的理解和翻译。

本条的核心词汇是Term，对其语义的理解将影响到中文翻译的准确性。Term有很多常见的语义，如表达时间长短内涵的期限、任期、学期、有效期等等；表达措辞的“术语”、“把…叫作”（动词）。

在这个法律条款中，Term的内涵是说的许诺（promise）、协议（agreement）和合同（contract）的“内容”、“规定”或相近的意思。

为了准确理解和翻译这个词语，笔者查阅了词典。

在线单词检索Etymonline网站给出的Terms解释中：

terms (n.) "limiting conditions," early 14c.; see term (n.). Hence expressions such as come to terms, make terms, on any terms, etc. Meaning "standing, footing, mutual relations," as in expression on good terms (with someone), is recorded from 1540s.

《金山词霸?柯林斯》其中一个词条是这样的：

⑩ (N-PLURAL) (协议、条约等的)条款，条件 The terms of an agreement, treaty, or other arrangement are the conditions that must be accepted by the people involved in it.

《金山词霸?英英词典》其中一个词条是这样的：

3. (usually plural) a statement of what is required as part of an agreement;

从上面的英文词条解释来看，Term含有“条件”的含义，也就是协议当事人互相给出promise的基础。笔者的理解，这种“条件”，也就是promise的“内容”。

中文中，大概有“条款”和“条件”与上述的英文含义比较贴近。

根据《汉典》词条解释，条款的意思是：

1）法令、条约、契约或文件中所订定的事项。《东周列国志．第八七回》：「卫鞅于是定变法之令，将条款呈上孝公，商议停当。」

2）社会通行不成文的习惯。《水浒传．第二一回》：「自古道：『风流茶说合，酒是色媒人。』正犯著条款。」

《汉典》同时还转引了《百度百科》词条以下内容：

条款意思是条件，为某事而提出的要求或应达到的标准。语出茅盾 《子夜》十一：“老赵，老赵，要是不答应我的条款，好，我们就拉倒！”

在“条款”和“条件”之间比较选择，“条款”本身含有“条件”的意思，正如上文中《百度百科》词条所说“为某事而提出的要求或应达到的标准”。但在笔者理解来看，“条款”在经过长时间的运用后，语义已经从纯粹的“条件”渐渐泛化为（协议或合同的）“内容”。这一点上，似乎跟Term的演变有相似之处。

综上来看，用“条款”作为“Term”（或Terms）的对应翻译，还是合适的。

重要词汇matter的理解和翻译。

中文“事情”和“事项”与matter含义比较贴近。

查《汉典》词条解释：

事情(1) [affair;matter]∶人类生活中的一切活动和现象。

事项 [item;matter] 事情的项目。

两相比较，笔者倾向用“事情”作为matter的对应翻译。

重要词汇Assent的理解和翻译。

Assent是“同意、赞成、批准”的含义，是通过行为（口头言语或其他动作）对他人意思的同意。

在线单词检索Etymonline网站给出的Terms解释中：

assent?(n.)early 14c., "consent, approval," from Old French assent, a back-formation from assentir "to agree" (see assent (v.)). "Assent is primarily an act of the understanding; consent is distinctly the act of the will: as, I assent to that proposition; I consent to his going" [Century Dictionary].

查《汉典》词条解释：

附和：[echo;chime in with;follow;parrot;in chorus;trail after] 随着别人说或做

赞许：[favorable] 认为好而称赞;赞赏

以赞许的眼光看待一个企业

同意：

(1) [with one heart]∶同心,一心

上下同意

道者,令民与上同意也。——《孙子》

(2) [same meaning]∶意义相同;意旨相同。亦指用意相同

日月与鬼神同意共指。——《论衡》

(3) [agree with;approve;consent]∶对某种主张表示赞成的意见;准许

同意一个计划

在合同法语境中，assent不单单是对他人意见的“赞许”或者“一致”，还体现在愿意共同去转化为行动（合同的履行）。因此，结合中、英文词条的解释，笔者倾向用“附和”作为assent的对应翻译。
